Terms of Service

Effective Date: 01/10/2026

Welcome to Tripolo.

These Terms of Service (the “Terms”) constitute a legally binding agreement between you and the applicable Tripolo contracting entity identified in Schedule 1 (“Tripolo,” “we,” “us,” or “our”). These Terms govern your access to and use of Tripolo’s websites, mobile applications, and related services (collectively, the “Tripolo Platform”).

By accessing or using the Tripolo Platform, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you may not access or use the Tripolo Platform.

1. The Tripolo Platform

1.1 What Tripolo Provides

Tripolo operates an online marketplace that enables registered users (“Members”) to:

  • publish and offer in-person travel-related services (Members offering services are “Guides”), and

  • search for, request, book, and participate in those services (Members booking services are “Travelers”).

Guides may offer private tours, cultural experiences, local excursions, translation or interpretation support, and other travel-related services (collectively, “Guide Services”). Each Guide Service is made available through a profile or listing (a “Listing”).

1.2 Platform-Only Role; No Agency

Tripolo is a technology platform only.

Tripolo does not own, control, manage, operate, or provide any Listings or Guide Services, and is not a travel agency, tour operator, carrier, or insurer. Except as expressly stated in these Terms (including Tripolo’s limited role in facilitating payments), Tripolo is not a party to any agreement entered into between Travelers and Guides.

Guides and Travelers contract directly with each other for Guide Services.

PART A — Traveler Terms
2. Searching and Booking Guide Services

2.1 Browsing and Search Results

You may browse Listings and use search tools and filters such as destination, travel dates, group size, language, and type of Guide Service.

Search results and Listing visibility may be influenced by factors including relevance to your search, availability, pricing, language compatibility, reviews, responsiveness, reliability, cancellation history, past bookings, and other operational or quality-related signals determined by Tripolo. Tripolo does not guarantee that any Listing will appear in search results or be available at any given time.

2.2 Booking and Pricing

When you submit a booking request and it is accepted or confirmed, you agree to pay the Total Price, which may include:

  • the price displayed on the Tripolo Platform at the time of booking,

  • Tripolo service fees,

  • applicable taxes, and

  • any additional items or charges clearly disclosed at checkout.

If you choose to pay in a currency different from the currency set by the Guide, Tripolo or its payment partners may apply a currency conversion rate and related fees. You are responsible for any fees imposed by your bank, card issuer, or payment provider.

2.3 Contract with the Guide

Once your booking is confirmed, a binding contract for the Guide Service (a “Reservation”) is formed directly between you and the Guide.

The Reservation includes:

  • these Terms,

  • the Listing description,

  • the cancellation policy shown at booking,

  • any rules, requirements, or disclosures provided in the Listing or during checkout, and

  • applicable Tripolo policies referenced in these Terms.

It is your responsibility to review and understand all Reservation terms before booking.

3. Participation in Guide Services

Booking a Guide Service entitles only the Travelers included in the Reservation to participate.

You are responsible for ensuring that you and your party meet all requirements specified by the Guide, including age limits, physical ability, language proficiency, equipment needs, or other conditions. You must disclose to the Guide any medical, physical, or other circumstances that could reasonably affect safe participation.

Unless expressly authorized by the Guide and reflected in the Reservation, you may not substitute participants or allow additional individuals to participate.

4. Cancellations, Reservation Issues, and Modifications

4.1 Cancellations and Refunds

If you cancel a Reservation, the amount refunded to you is determined by the cancellation policy applicable to that Reservation, except where another Tripolo policy applies (such as a Major Disruptive Events policy or an experience protection policy, where applicable).

If a Guide cancels, fails to show up, or a qualifying Reservation issue occurs, Tripolo may, at its discretion and in accordance with applicable policies, provide assistance such as rebooking support, credits, or refunds.

Tripolo’s determinations regarding refunds, credits, or rebooking assistance are final, subject to any appeal process described in applicable policies.

4.2 Booking Modifications

If you and a Guide agree to modify a Reservation (including dates, scope, duration, group size, or add-ons), you agree to pay any resulting price difference, fees, or taxes. Tripolo may require that modifications be processed through the Platform or through Tripolo customer support.

5. Traveler Responsibilities and Risk Acknowledgement

5.1 Your Responsibilities

You are responsible for your own conduct and the conduct of anyone included in your Reservation. This includes following reasonable instructions from the Guide, complying with applicable laws and local customs, and treating Guides and others with respect.

If you book a Guide Service on behalf of others, you represent that you have authority to do so and that all participants agree to these Terms.

5.2 Abusive or Excessive Cancellations

To protect Guides and the integrity of the Tripolo Platform, Tripolo may monitor cancellation activity.

If your account shows patterns of excessive, repeated, or abusive cancellations, including cancellations that appear intended to misuse the Platform, disrupt Guides, or circumvent policies, Tripolo may take corrective action. Such action may include warnings, temporary limitations, suspension, or termination of your account, and restrictions on future bookings, at Tripolo’s discretion and in accordance with applicable law.

5.3 Assumption of Risk

Participation in Guide Services may involve inherent risks, including physical exertion, transportation, weather conditions, outdoor environments, unfamiliar locations, or unforeseen events.

By booking and participating in a Guide Service, you voluntarily assume all such risks and agree that you are responsible for determining whether a Guide Service is appropriate for you and your party.

Tripolo strongly recommends that Travelers obtain appropriate travel insurance covering medical care, accidents, cancellations, and unexpected disruptions.

PART B — Guide Terms
6. Guiding on the Tripolo Platform

6.1 Role of Guides

As a Guide, Tripolo grants you a limited, revocable right to use the Tripolo Platform to publish Listings and offer in-person Guide Services to Travelers. Guide Services may include private tours, cultural experiences, sightseeing activities, language assistance, or other travel-related services.

Tripolo may determine, recommend, or adjust pricing for Guide Services offered through the Tripolo Platform. As a Guide, you remain free to accept or decline bookings made at the offered price, subject to these Terms.

6.2 Contract with Travelers

When you confirm or accept a booking through the Tripolo Platform, you enter into a legally binding agreement directly with the Traveler to provide the Guide Service described in your Listing.

You are solely responsible for:

  • delivering the Guide Service as described,

  • complying with the Reservation terms,

  • honoring the applicable cancellation policy, and

  • providing the Guide Service in a professional, safe, and lawful manner.

Tripolo is not a party to the contract between you and the Traveler.

6.3 Fees and Deductions

By offering Guide Services on the Tripolo Platform, you agree to pay applicable Tripolo service fees and any taxes required by law. Tripolo may deduct service fees, taxes, refunds, penalties, chargebacks, or other amounts you owe from your payouts unless another method is agreed.

7. Independence of Guides

Guides are independent service providers and are not employees, agents, partners, joint venturers, or representatives of Tripolo.

Nothing in these Terms creates any employment, agency, partnership, franchise, or fiduciary relationship between Tripolo and any Guide. Guides do not have authority to bind Tripolo, make representations on Tripolo’s behalf, or create obligations for Tripolo.

Tripolo may determine, recommend, or adjust pricing and fees for Guide Services offered through the Tripolo Platform as part of its marketplace operations. Tripolo’s determination of pricing or fees does not create an employment, agency, or service-provider relationship between Tripolo and any Guide.

Guides remain free to:

  • decide whether to offer Guide Services through the Tripolo Platform,

  • accept or decline booking requests made at the offered price,

  • determine how Guide Services are performed, subject to the Listing and applicable law, and

  • operate independently, including offering services through other platforms or channels.

Guides are not guaranteed any minimum number of bookings, income, or hours. Tripolo does not require Guides to accept any particular booking or maintain any level of activity on the Tripolo Platform.

Guides are solely responsible for:

  • their business operations and expenses,

  • obtaining any required licenses, permits, or insurance,

  • complying with applicable laws and regulations, and

  • reporting and paying all applicable taxes.

8. Creating and Managing Listings

8.1 Listing Accuracy and Maintenance

You are responsible for ensuring that each Listing is complete, accurate, and not misleading. Listings must clearly describe:

  • the nature and scope of the Guide Service,

  • service inclusions and exclusions,

  • any requirements or restrictions for Travelers, and

  • location, timing, and duration details.

You must keep your Listing information and availability up to date at all times.

Tripolo may limit Guides to one Listing or one primary service category per account, and may require verification or additional documentation.

8.2 Prohibited Misrepresentation

You may not misrepresent:

  • your identity, qualifications, or experience,

  • the nature or safety of a Guide Service, or

  • availability, pricing, or inclusions.

Misleading Listings may result in reduced visibility, suspension, or removal from the Tripolo Platform.

9. Legal Compliance and Permits

You are solely responsible for understanding and complying with all laws, regulations, licensing, insurance, and permit requirements that apply to your Guide Services.

This includes, where applicable:

  • tourism or guiding licenses,

  • safety and health regulations,

  • local tax rules, and

  • consumer protection obligations.

Any information Tripolo provides regarding legal requirements is for general informational purposes only and does not constitute legal advice.

10. Search Visibility and Performance Signals

Tripolo may display and rank Listings using various signals, which may include relevance to Traveler searches, price, language compatibility, reviews, responsiveness, reliability, cancellation history, availability, and overall performance.

Tripolo does not guarantee placement, ranking, or visibility of any Listing, and ranking factors may change over time.

11. Guide Conduct and Platform Integrity

11.1 Professional Conduct

You agree to:

  • act honestly and professionally,

  • communicate clearly and respectfully,

  • arrive on time and deliver the Guide Service as described, and

  • prioritize Traveler safety and lawful conduct.

11.2 Off-Platform Transactions Prohibited

You may not request, accept, or encourage payments outside the Tripolo Platform for Guide Services offered through Tripolo, nor may you attempt to bypass Tripolo fees.

You may not direct Travelers to third-party platforms for bookings, payments, reviews, or required interactions unless expressly authorized by Tripolo.

11.3 Use of Traveler Information

You may use Traveler personal information only as necessary to provide the booked Guide Service and must handle such information in accordance with applicable privacy laws and Tripolo’s policies.

12. Teams, Organizations, and Sub-Guides

If you provide Guide Services as part of a team, business, or organization, you remain fully responsible for compliance with these Terms and for the acts and omissions of all individuals involved in providing the Guide Services.

You represent that you have the authority to bind your organization and any participating individuals to these Terms.

Tripolo may require additional verification or documentation for organizational accounts.

13. Guide Cancellations, Issues, and Enforcement

13.1 Guide Cancellations

Guides should not cancel confirmed Reservations except for valid reasons permitted by applicable law or Tripolo policies.

Unjustified cancellations, repeated no-shows, or failure to deliver Guide Services may result in:

  • reduced or withheld payouts,

  • reduced Listing visibility,

  • temporary suspension, or

  • permanent removal from the Tripolo Platform.

13.2 Reservation Issues and Refunds

If Tripolo determines that a Reservation Issue has occurred, Tripolo may, in accordance with its policies, issue refunds or credits to Travelers. Any such amounts may be deducted from your payouts or recovered from future payouts where permitted by law.

Tripolo’s determinations in such matters are final, subject to any appeal process described in applicable policies.

14. Guide Risk Acknowledgement

Guiding may involve inherent risks, including physical exertion, travel in unfamiliar environments, and interactions with Travelers.

You acknowledge and accept these risks and agree that, to the maximum extent permitted by law, Tripolo is not responsible for injuries, losses, or damages arising from your provision of Guide Services.

PART C — Payments, Legal Terms, and Dispute Resolution

15. Payment Services Overview

Tripolo facilitates payments between Travelers and Guides for Guide Services offered through the Tripolo Platform. These payment services may include:

  • collecting payments from Travelers,

  • disbursing payouts to Guides,

  • processing refunds, credits, and chargebacks, and

  • handling applicable fees and taxes.

Tripolo uses third-party payment service providers and may require identity verification or additional information to comply with legal, regulatory, or risk-management obligations.

16. Traveler Payment Terms

16.1 Payment Authorization

By submitting a booking request, you authorize Tripolo to charge your selected payment method for the Total Price, which includes:

  • the price displayed on the Tripolo Platform at the time of booking,

  • Tripolo service fees, and

  • applicable taxes.

You authorize Tripolo to charge additional amounts permitted under these Terms, such as approved Booking Modifications, refunds reversals, chargebacks, penalties, or other amounts owed.

16.2 Failed Payments

If a charge fails or is reversed, you remain responsible for the amount owed. Tripolo may retry charges, use other payment methods on file, or pursue lawful collection actions.

16.3 Refunds

Refunds, where applicable, will be initiated by Tripolo in accordance with the applicable cancellation policy or Tripolo policy. Refund timing depends on the payment method and financial network rules.

17. Guide Payout Terms

17.1 Payout Eligibility

To receive payouts, Guides must maintain a valid payout method and provide accurate and complete verification information.

17.2 Timing and Holds

Tripolo generally initiates payout to Guides fourteen (14) days after the scheduled completion of the Guide Service, provided that no disputes, refund requests, chargebacks, policy violations, or other issues have been reported or identified.

Tripolo may delay, withhold, adjust, or place a hold on any payout where reasonably necessary for purposes including, but not limited to:

  • investigating disputes, complaints, or Reservation Issues,

  • preventing fraud or abuse,

  • addressing chargebacks or payment reversals,

  • complying with legal, regulatory, or tax obligations, or

  • enforcing these Terms or Tripolo policies.

Tripolo’s decision to delay or withhold a payout under this Section does not constitute a breach of these Terms and does not entitle the Guide to interest or damages.

17.3 Deductions and Recovery

A Guide’s payout equals amounts collected minus applicable fees, taxes, refunds, credits, penalties, or other adjustments. If Tripolo refunds a Traveler after a payout has been issued, Tripolo may recover the refunded amount from future payouts or other lawful means.

18. Limited Payment Collection Agent

Each Guide appoints Tripolo as the Guide’s limited payment collection agent solely for the purpose of accepting Traveler payments through the Tripolo Platform.

A Traveler’s payment to Tripolo satisfies the Traveler’s payment obligation to the Guide for the amount paid. Tripolo’s obligation to remit funds to Guides is conditional upon Tripolo’s successful receipt and retention of those funds (including resolution of chargebacks or reversals).

This arrangement does not create an agency relationship for any other purpose.

19. Prohibited Payment Activities and Compliance

You may not use the Tripolo Platform or payment services for unlawful, fraudulent, or unauthorized purposes.

Tripolo may suspend or restrict payment features or accounts where activity presents unacceptable risk or violates these Terms, applicable law, or payment-provider requirements.

Tripolo complies with applicable sanctions, anti-money laundering, and financial compliance obligations.

20. Reviews and User Content

Travelers may submit reviews after completing a Guide Service. Reviews must be accurate, respectful, and lawful. Tripolo may remove or restrict content that violates policies.

By submitting content, you grant Tripolo a worldwide, royalty-free, sublicensable license to use the content to operate, improve, and promote the Tripolo Platform, consistent with applicable privacy laws.

21. Platform Rules and Enforcement

You must not:

  • misrepresent identity or services,

  • harass or discriminate against others,

  • manipulate reviews or search results,

  • scrape, hack, or interfere with the Platform,

  • bypass Tripolo to avoid fees, or

  • misuse personal information.

Tripolo may investigate suspected violations and take enforcement action, including warnings, suspensions, booking cancellations, payout holds, or account termination.

22. Termination and Suspension

These Terms remain effective until terminated by you or Tripolo.

You may terminate by closing your account. Tripolo may suspend or terminate accounts for violations, legal compliance, fraud prevention, safety concerns, or platform integrity.

If your account is terminated, any future or pending bookings may be canceled, and any applicable refunds will be issued in accordance with the cancellation policy and Tripolo’s applicable policies.

23. Disclaimer of Warranties

The Tripolo Platform is provided “as is” and “as available.” Tripolo disclaims all warranties to the maximum extent permitted by law, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Tripolo does not guarantee the quality, safety, legality, or suitability of any Guide, Traveler, Listing, or Guide Service.

24. Limitation of Liability

To the maximum extent permitted by law, Tripolo is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages.

Tripolo’s total liability arising out of or relating to these Terms or use of the Tripolo Platform is limited to the greater of (a) the amounts paid to or through Tripolo in the three (3) months preceding the event giving rise to the claim, or (b) US$25.

25. Indemnification

You agree to defend, indemnify, and hold harmless Tripolo and its affiliates from claims, damages, losses, and expenses arising from:

  • your breach of these Terms,

  • your use of the Tripolo Platform,

  • your provision or participation in Guide Services, or

  • your violation of law or third-party rights.

26. United States Governing Law and Arbitration Agreement

26.1 Governing Law (United States)

If you reside in, are established in, or access the Tripolo Platform from the United States, these Terms shall be governed by the laws of the State of Washington, United States of America, without regard to its conflict-of-law principles.

26.2 Agreement to Arbitrate

Except as expressly excluded below, you and Tripolo agree that any dispute, claim, or controversy arising out of or relating to these Terms, your use of the Tripolo Platform, any Listing, any Guide Service, or any payment, refund, or communication (each, a “Dispute”) shall be resolved exclusively through final and binding arbitration on an individual basis, rather than in court.

26.3 Mandatory Informal Resolution

Before initiating arbitration, you and Tripolo agree to attempt to resolve any Dispute informally.

At least thirty (30) days before commencing arbitration, the party asserting the Dispute must send a written notice describing the issue and the relief sought (“Notice of Dispute”).

  • Notices from Tripolo will be sent to the email address associated with your account

If the Dispute is not resolved within the 30-day period, either party may proceed to arbitration.

26.4 Arbitration Rules and Forum

Arbitration shall be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by this Agreement.

The arbitration shall:

  • be conducted in English,

  • be decided by a single neutral arbitrator, and

  • take place remotely unless an in-person hearing is required.

This Arbitration Agreement is governed by the Federal Arbitration Act (FAA).

26.5 Delegation of Authority

You and Tripolo agree that the arbitrator has exclusive authority to resolve any dispute regarding:

  • the interpretation, applicability, enforceability, or formation of this arbitration agreement, and

  • whether a Dispute is subject to arbitration.

26.6 Exceptions to Arbitration

The following Disputes are not subject to arbitration and may be brought in court:

  1. Claims alleging actual or threatened infringement of intellectual property rights

  1. Requests for emergency or injunctive relief to prevent imminent harm

  1. Individual claims of sexual assault or sexual harassment

  1. Claims properly brought in small claims court

Any claim for public injunctive relief, where permitted by law, shall be stayed pending arbitration of all arbitrable claims.

26.7 No Class or Representative Actions

To the fullest extent permitted by law, arbitration must proceed on an individual basis only.

You and Tripolo waive any right to:

  • participate in a class action,

  • pursue class-wide arbitration,

  • act as a private attorney general, or

  • bring any representative proceeding.

26.8 Mass Arbitration Waiver and Procedures

To the fullest extent permitted by law, you and Tripolo agree that Disputes may not be brought, arbitrated, or resolved as part of any coordinated, collective, or mass arbitration proceeding.

For purposes of this Section, a “Mass Arbitration” means fifty (50) or more arbitration demands filed within a ninety (90) day period that raise substantially similar claims and are brought by or with the assistance of the same or coordinated counsel.

If a Dispute is determined to be part of a Mass Arbitration, Tripolo may, in its discretion:
(a) require the claims to be resolved in individual proceedings only;
(b) stay the arbitration proceedings until the parties agree on an alternative dispute resolution process; or
(c) decline to participate in arbitration for those claims and require that such claims be resolved in a court of competent jurisdiction.

Nothing in this Section prevents the parties from participating in a voluntary, global settlement of claims.

26.9 Arbitration Fees and Costs

Arbitration fees and arbitrator compensation shall be governed by the AAA’s rules.

If you qualify for a fee waiver under applicable AAA rules, Tripolo will pay your share of arbitrator fees to the extent required by law.

Each party otherwise bears its own legal fees unless the arbitrator awards fees under applicable law.

26.10 Arbitration Decision and Relief

The arbitrator may award any relief permitted by law on an individual basis only.

The arbitrator shall issue a written decision stating the essential findings and conclusions. Judgment on the award may be entered in any court of competent jurisdiction.

26.11 Jury Trial Waiver

To the fullest extent permitted by law, you and Tripolo waive the right to a trial by jury for all Disputes subject to arbitration.

26.12 Survival

This Section 26 survives termination of these Terms and your Tripolo account.

26.13 Severability of Arbitration Agreement

If any provision of this Section 26 is found to be invalid, illegal, or unenforceable with respect to a particular claim or remedy, that provision shall be severed solely as to that claim or remedy, and the remaining provisions of this Section 26 shall remain in full force and effect.

27. China Governing Law and Dispute Resolution

27.1 Applicability

This Section 27 applies to users who reside in, are established in, or access the Tripolo Platform in regions where the laws of the People’s Republic of China are applied.

The arbitration shall be conducted in Chinese, and the arbitral award shall be final and binding on both parties.

27.4 Litigation Where Arbitration Is Not Permitted

Where arbitration is not permitted, applicable, or enforceable under mandatory provisions of PRC law, disputes shall be submitted to the people’s court with competent jurisdiction as determined in accordance with applicable law.

27.5 Consumer Protection and Mandatory Rights

Nothing in these Terms limits or excludes liability or rights where such limitation or exclusion is prohibited by applicable law, including mandatory consumer protection provisions of the People’s Republic of China.

Where mandatory legal provisions grant users rights that are more favorable than those set forth in these Terms, such mandatory provisions shall prevail.

27.6 Survival

This Section 27 shall survive termination of these Terms and your Tripolo account.

28. Rest of World Governing Law and Dispute Resolution

28.1 Applicability

This Section 28 applies to users who reside in, are established in, or access the Tripolo Platform outside the United States and regions where the laws of the People’s Republic of China are applied, unless otherwise expressly stated in these Terms.

28.2 Governing Law

These Terms, and any dispute, claim, or controversy arising out of or relating to these Terms, the Tripolo Platform, any Listing, or any Guide Service, shall be governed by and construed in accordance with the laws of the jurisdiction where the applicable Tripolo contracting entity identified in Schedule 1 is established, without regard to conflict-of-law principles.

The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is expressly excluded.

28.3 Consumer Rights
